** Intentional misstatements or omissions of facts constitute Federal Criminal Violations. See 18 U.S.C. 1001 and 15 U.S.C. 78ff(a).
(1) Consists of shares that vested from the issuance to Simone Fubini by the Issuer of an aggregate of 93,104 Restricted Stock Units ("RSUs") as follows: (i) 10,000 RSUs vested on February 1, 2020, and (ii) 83,104 RSUs vested following Mr. Fubini's resignation as a director on February 10, 2020. Mr. Fubini passed away on March 27, 2020. Following his passing, these shares were transferred pursuant to the will of Mr. Fubini to EFFE PI Societa Semplice ("EFFE PI").
(2) EFFE PI is affiliated with Emilio Hirsch, and Mr. Hirsch is deemed to have acquired a beneficial ownership interest in the reported securities held by EFFE PI.
(3) As a result of a disposition under the laws of descent and distribution, Esse Effe S.p.A. ("Esse Effe") is now affiliated with EFFE PI and Emilio Hirsch, and EFFE PI and Mr. Hirsch are each deemed to have acquired a beneficial ownership interest in the reported securities held by Esse Effe.
